These Terms of Sale and Delivery apply to all deliveries of products and / or services from LIFETEST VET EQUIPMENT ApS or its group companies (individually referred to as “LIFETEST VET EQUIPMENT APS ”) to any customer (“ Buyer ”).

Group companies are companies that are directly or indirectly controlled by LIFETEST VET EQUIPMENT APS through shareholding or voting rights.
The Terms of Sale and Delivery must be mutually binding LIFETEST VET EQUIPMENT APS and Buyer, unless otherwise expressly agreed. LIFETEST VET EQUIPMENT APS is not bound by terms set forth by Buyer that deviate from the Terms of Sale and Delivery, unless such terms are agreed in writing between LIFETEST VET EQUIPMENT APS and Buyer. LIFETEST VET EQUIPMENT APS is also not bound by terms set forth by Buyer, though LIFETEST VET EQUIPMENT APS has not objected to such terms.

1. Order confirmation
   Purchase offers are only accepted when the Buyer has received LIFETEST VET EQUIPMENT APS's written, including electronic, acceptance of the offer.
   
   2. Delivery and the transfer of risk
   Products are delivered to CIP Buyer's address in DK. But the Buyer pays for freight, where the Buyer orders products below the free shipping limit unless otherwise agreed. CIP must be interpreted in accordance with Incoterms 2010.
2. Billing
   Invoice sent per. email free of charge.
3. a. Receivable
   Credit note sent out per. e-mail and deducted upon payment of subsequent invoice. If the trade with LIFETEST VET EQUIPMENT APS has ceased, the receivable will be paid when the conditions for this are met:
   • All outstanding items have been settled
   Proof of bank account ownership is LIFETEST VET EQUIPMENT APS in hand; such proof may be a statement from the bank stating the account number and account holder or the official letterhead stating the bank account number and CVR.
4. Delay
   If LIFETEST VET EQUIPMENT APS does not deliver on time, the Buyer may demand delivery in writing and set a final, reasonable deadline for this. If delivery does not take place within this deadline, the buyer can cancel the purchase in writing. A possible claims against LIFETEST VET EQUIPMENT APS is limited according to pkt. 13 and pkt. 14.
5. Return of products
   Returns of goods can take place by prior arrangement with LIFETEST VET EQUIPMENT APS and cf. previous conditions for returning products. 

5.a. Products with special conditions
Basically, sterile products come with 3 layers of packaging; the primary, the secondary and the tertiary packaging. The primary packaging is the innermost, which keeps the product sterile. The secondary packaging keeps the sterile product clean, while the third layer acts as protection during transport. In order to guarantee that a product is sterile at the time of use, have LIFETEST VET EQUIPMENT APS unfortunately does not have the opportunity to take these products back.
Certain products require storage within specified temperatures in order to last. On these products, a temperature symbol is indicated on the packaging.  
LIFETEST VET EQUIPMENT APS unfortunately does not have the opportunity to take these products back, as we do not have control over what temperatures the product is stored under after we have delivered the product to a customer.

6. Prices
   Prices for Products are exclusive of VAT and / or other taxes. LIFETEST VET EQUIPMENT APS reserves the right to adjust the agreed prices for non-delivered Products in the event of exchange rate changes, price increases from subcontractors, price increases for materials, changes in customs duties, changes in wages, government intervention or similar matters.
7. Retention of title
   LIFETEST VET EQUIPMENT APS reserves the ownership of the delivered goods until payment has taken place.
8. Packaging
   Disposable packaging is included in agreed prices and is not reimbursed for any return. Reusable packaging is not included in the price, but is credited to the Buyer for free return in undamaged condition in accordance with LIFETEST VET EQUIPMENT APS's instructions.
9. Payment terms
   14 days net, unless otherwise agreed in writing between LIFETEST VET EQUIPMENT APS and Buyer.
10. Product information
    Any product information - whether it originates from LIFETEST VET EQUIPMENT APS or one of LIFETEST VET EQUIPMENT Aps´'s business relationships - including information about weight, dimensions, capacity or other technical data in catalog, description, prospectus, advertisement, etc., are to be regarded as informative, and are only binding to the extent LIFETEST VET EQUIPMENT APS expressly refers to this in the offer and / or order confirmation. Specific requirements from the Buyer are only binding to the extent that they are confirmed in writing LIFETEST VET EQUIPMENT APS.
11. Changes
    LIFETEST VET EQUIPMENT APS reserves the right to make changes to its products without notice if this can be done without significantly changing agreed technical specifications and without significantly changing the form or function of the Products.
12. Duty to inspect for defects
    It is the Buyer's at the latest upon receipt to make a thorough examination of whether the delivery is in accordance with the agreed. Buyer is obliged to immediately and within 8 days complain in writing about defects found in such an inspection, and the Buyer can not later invoke defects that were or should have been found in this inspection
13. Defects in the delivered product
    Claims regarding defects, delays, product liability or other claims for compensation must be submitted in writing to LIFETEST VET EQUIPMENT APS without undue delay.
    LIFETEST VET EQUIPMENT APS's any liability for defects in the product ceases 12 months from the time of delivery of the product, however, no later than 8 days after the defect has been discovered, or the Buyer should have established the defect, without having complained. If LIFETEST VET EQUIPMENT APS is responsible for the defect, is LIFETEST VET EQUIPMENT APS is obliged to carry out remediation in the form of repair or replacement after LIFETEST VET EQUIPMENT APS's decision. LIFETEST VET EQUIPMENT APS does not reimburse the costs of disassembly, disassembly, transport, assembly and restoration, as well as the liability is limited according to p. 13 and pkt.

LIFETEST VET EQUIPMENT APS's liability only covers defects that occur under the assumed and / or usual working conditions and during the correct use of the equipment. The liability does not cover defects which are due to reasons that have arisen after the risk has passed to the Buyer. The liability does not include, for example, defects due to inadequate maintenance and / or repair, incorrect installation and changes made without LIFETEST VET EQUIPMENT APS's written consent. Finally, liability does not include normal wear and tear and aging.
In the event of defect objections, the Buyer must, by prior agreement with LIFETEST VET EQUIPMENT APS send the Product to LIFETEST VET EQUIPMENT APS enclosed with a delivery note indicating the alleged defect and LIFETEST VET EQUIPMENT APS order number. Shipping and insurance are paid by Buyer. Shows LIFETEST VET EQUIPMENT APS's investigation that the Product is not defective, the Product is returned at the Buyer's expense and risk. If the Product is defective, send LIFETEST VET EQUIPMENT APS for LIFETEST VET EQUIPMENT APS's expense and risk the repaired Product or a replacement product to the Buyer and take over replaced parts or the defective Product. In addition, the Buyer can not raise claims against LIFETEST VET EQUIPMENT APS due to defective Products.

14. Product liability
    Any product liability, which is covered by the Product Liability Act, is determined accordingly. If claims for product liability are raised, which are not covered by the Product Liability Act, are limited LIFETEST VET EQUIPMENT APS's responsibility for the value of the delivery. It is the Buyer's responsibility to follow the safety instructions and other information provided to the Buyer in each individual case. In case of any doubt about the use of the product, including any adverse effects or side effects, the Buyer must contact LIFETEST VET EQUIPMENT APS before use of the product, so that any doubts about the correct use of the product can be clarified before use.
15. Consequential damages / Indirect losses
    LIFETEST VET EQUIPMENT APS is not liable to Buyer for any consequential damages or indirect losses that may arise from or in relation to a purchase agreement governed by these Terms of Sale and Delivery, including, but not limited to, production interruption, loss of earnings , loss of goodwill or loss of data.
16. Intellectual property rights
    All intellectual property rights to the products and to things like LIFETEST VET EQUIPMENT APS develops, prepares or delivers and / or uses, including offers, drawings, packages, instructions, promotional materials and images, belongs to LIFETEST VET EQUIPMENT APS.
    Buyer may not remove or modify any copyright, trademark, trade name or other intellectual or industrial property rights relating to the products, trade names or other intellectual or industrial property rights from the products, software and / or other items from LIFETEST VET EQUIPMENT APS.
17. Prohibition on resale and use for certain purposes
    Products may not be sold to individuals, companies or any other type of organization if there is knowledge or suspicion that these are related to any form of terrorist or drug activity.
    Products may be subject to legal regulations and restrictions, and may therefore be subject to restrictions on sales to countries / customers subject to export / import bans. Such restrictions must be complied with when reselling Products to these countries / customers. Products may not be resold if there is any doubt or suspicion that the Products may be used for the above purposes. If the Buyer is aware of or suspects that the above conditions have been violated, the Buyer must immediately provide LIFETEST VET EQUIPMENT APS notice thereof.
18. Force majeure
    LIFETEST VET EQUIPMENT APS is entitled to cancel orders or postpone agreed delivery of Products, and is otherwise free from liability for any missing, defective or delayed delivery that is wholly or partly due to circumstances beyond LIFETEST VET EQUIPMENT APS's reasonable control options, such as rebellion, unrest, war, terrorism, fire, government regulations, strike, lockout, slow-down, lack of means of transport, shortage of goods, illness or delay in or defects in supplier deliveries, production or testing accidents , or lack of energy supply, epidemics, unusual natural events, including but not excluded, storms and strong winds, floods, severe winter weather, lightning, meteor showers and volcanic eruptions. All Buyer's powers are suspended or waived in such cases. The buyer may not, in the event of cancellation or deferred execution, claim damages or make any other claim against LIFETEST VET EQUIPMENT APS.
19. Partial invalidity
    If one or more of the provisions of these Terms of Sale and Delivery are found to be invalid, illegal or unenforceable, none of the validity, legality or enforceability of any of the other provisions shall be affected or impaired thereby.
20. disputes
    Any disputes between the parties arising out of or in relation to a purchase agreement, which is governed by the Terms of Delivery, shall be settled in accordance with Danish law. Any dispute that cannot be settled amicably must be brought before the court LIFETEST VET EQUIPMENT APS's venue.
